About these terms
In these terms, "we", "us" and "ClanCode Labs" refer to ClanCode Labs, a software engineering company based in Sri Lanka. "You" refers to the individual or organisation using our website or engaging our services.
Where you have signed a separate proposal, statement of work or service agreement with us, that document takes precedence over these terms for anything it specifically covers.
Use of our website
- You must be at least 18 years old, or have authority to act for a business, to engage our services.
- You agree to provide accurate and current information when contacting us or placing an order.
- You may not use our website for any unlawful purpose, attempt to gain unauthorised access to it, or interfere with its normal operation.
Our services
We provide custom software development, web and mobile application development, AI and automation solutions, cloud and infrastructure work, UI/UX design, maintenance and support, and related consulting.
The exact scope, deliverables, timeline and price of any engagement are set out in the proposal or quotation we issue to you. Nothing on this website constitutes a binding offer until we confirm your engagement in writing.
Quotations and scope
Quotations are valid for 30 days from the date of issue unless stated otherwise, and are based on the requirements known at the time.
Changes to agreed scope — new features, additional platforms, redesigns or expanded requirements — are handled as a change request and may affect price and timeline. We will always confirm the impact with you in writing before proceeding.
Orders, pricing and payment
- Prices are quoted in Sri Lankan Rupees (LKR) unless otherwise stated, and are exclusive of applicable taxes and government levies, which are added to your invoice where required.
- Online payments are accepted through PayHere, which supports Visa, Mastercard, American Express and other locally supported methods. Bank transfers are also accepted.
- Project work typically requires an advance payment before work begins, with the balance billed against agreed milestones. Invoices are due within the period stated on the invoice.
- We may pause work on overdue accounts after written notice. We reserve the right to decline or cancel any order — including for reasons of availability, pricing errors, or suspected fraud — and will refund any amount already paid for the cancelled portion.
Subscriptions and recurring billing
Where you subscribe to a plan, retainer, hosting or maintenance service, the fee is charged automatically at the start of each billing cycle using your saved payment method until you cancel.
You may cancel at any time by writing to us; cancellation takes effect at the end of the current billing cycle. We will give you reasonable notice in writing before any change to a recurring fee.
Service delivery
Our services are delivered digitally — through source code repositories, deployed environments, design files, documents and scheduled sessions. There is no physical shipment.
Delivery dates in a proposal are good-faith estimates based on the agreed scope and on receiving your input and approvals on time. Delays caused by late feedback, late access to systems or third-party dependencies extend the timeline accordingly.
Your responsibilities
- Provide accurate requirements, content and assets, and give feedback and approvals within the agreed timeframes.
- Provide access to the systems, accounts and environments we need, and maintain the licences and subscriptions your solution depends on.
- Ensure you own or are licensed to use any content, data or materials you give us.
Intellectual property
All content on this website — text, images, logos, graphics and code — belongs to ClanCode Labs or its licensors and may not be copied, reproduced or reused without our written permission.
For client projects, ownership of the custom deliverables we build for you transfers to you once we have received payment in full. Until then, all rights remain with us.
We retain ownership of our pre-existing tools, frameworks, libraries and know-how used to build your solution, and grant you a perpetual, non-exclusive licence to use them as part of the delivered work. Third-party and open-source components remain subject to their own licences.
Confidentiality
Each party agrees to keep the other's non-public business, technical and commercial information confidential, and to use it only for the purpose of the engagement. This obligation continues after the engagement ends.
We may reference your company name and a general description of the work in our portfolio and marketing unless you ask us in writing not to.
Warranty and support
We warrant that our services are performed with reasonable skill and care. For 30 days after delivery of a milestone, we will fix defects in that deliverable at no charge where it does not perform according to the agreed specification.
This warranty does not cover issues caused by changes made by you or a third party, by changes in third-party services, by use outside the agreed specification, or by new feature requests. Ongoing support beyond this period is available under a support or maintenance plan.
Refunds
Cancellations and refunds are governed by our Refund Policy, which forms part of these terms. Please read it before making a payment.
Limitation of liability
To the maximum extent permitted by law, ClanCode Labs, its directors and its employees are not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, business, goodwill or data, arising out of your use of our website or our services.
Our total aggregate liability for any claim relating to an engagement is limited to the amount you have paid us for the specific service that gave rise to the claim.
Nothing in these terms excludes liability that cannot lawfully be excluded.
Third-party services
Our solutions may rely on third-party platforms and services such as cloud providers, payment gateways, APIs and app stores. Those services are governed by their own terms, and we are not responsible for their availability, pricing changes or performance.
Termination
Either party may terminate an engagement with written notice as set out in the applicable proposal. On termination you remain liable for all work performed and costs committed up to the effective date, and we will hand over the deliverables paid for in full.
We may suspend or terminate access to our website or services immediately in cases of misuse, fraud, or breach of these terms.
Governing law
These terms are governed by the laws of Sri Lanka, and the courts of Sri Lanka have exclusive jurisdiction over any dispute arising from them.
Before starting formal proceedings, both parties agree to attempt in good faith to resolve any dispute through discussion.
Changes to these terms
We may update these terms from time to time. The current version is always published on this page with its last updated date, and continued use of our website or services after a change means you accept the revised terms.
